Research and Development Agreement

This Research and Development Agreement is between a company and a contractor who will perform research and development services. Contractor may have expertise or equipment which makes it better suited to perform the project while engaging company has certain knowledge or market position that is a component of the research. This agreement sets out the terms of the arrangement including the know-how and data which engaging company will provide to contractor. It also sets out payment arrangements and ownership of intellectual property. It is important that this agreement be set out in writing. A written Research and Development Agreement will be helpful if there are disagreements between the parties.
