Escrow Agreement
This Escrow Agreement is between the seller and buyer of a business and an escrow agent who agrees to hold a certain sum of money in an escrow account until the parties have concluded all purchase requirements. Escrow agent agrees to invest the escrow funds in an interest bearing account and to disburse funds only upon written directions from either the buyer or seller. This escrow agreement sets out the specifics of the arrangement including the amount of the escrow funds and how they will be delivered to escrow agent. It is imperative this type of agreement be set memorialized in writing. - Signatures: The seller, buyer and escrow agent must sign the agreement in front of witnesses;
- Schedules for Disbursement of Funds: Schedules A, B and C set out the directions regarding disbursement of the escrow funds.
